Please read these terms and conditions carefully before using the EPS Event Management System.

Important Notice

These Terms of Service constitute a legally binding agreement between you and EPS (Egypt Petroleum Show). By accessing or using our platform, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms, please do not use our services.

1. Acceptance of Terms

By accessing or using the EPS Event Management System ("Platform"), you agree to comply with and be bound by these Terms of Service, our Privacy Policy, and any additional terms and conditions that may apply to specific sections or features of the Platform.

These terms apply to all users of the Platform, including but not limited to visitors, exhibitors, sponsors, attendees, and any other individuals or entities accessing our services.

If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms, and references to "you" shall include both you as an individual and the organization you represent.

2. Description of Services

The EPS Event Management System provides a comprehensive platform for managing petroleum industry events, including but not limited to:

  • Event registration and ticketing services
  • Exhibitor booth booking and management
  • Sponsorship opportunity listings and applications
  • Event information and schedules
  • Networking and communication tools
  • Payment processing for event-related transactions
  • Digital event materials and resources

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform.

3. User Registration and Accounts

To access certain features of the Platform, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

You may not use another person's account without permission, create multiple accounts for deceptive purposes, or transfer your account to another party without our written consent.

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or illegal activities.

4. Exhibitor Terms and Conditions

4.1 Booth Booking and Allocation

Booth spaces are allocated on a first-come, first-served basis upon receipt of full payment. EPS reserves the right to allocate or relocate booth spaces as necessary for operational reasons. While we will make reasonable efforts to accommodate exhibitor preferences, booth assignments are at the sole discretion of EPS.

4.2 Exhibitor Responsibilities

Exhibitors are responsible for:

  • Complying with all event rules, regulations, and safety requirements
  • Obtaining necessary permits, licenses, and insurance coverage
  • Booth setup, operation, and dismantling within designated timeframes
  • Maintaining a professional appearance and conduct
  • Ensuring all booth materials comply with venue regulations
  • Respecting intellectual property rights of others

4.3 Prohibited Activities

Exhibitors shall not:

  • Sublet or share booth space without written permission
  • Distribute materials outside their allocated booth space
  • Create excessive noise or disruption
  • Engage in deceptive or unethical business practices
  • Display or distribute illegal, offensive, or inappropriate materials

4.4 Liability and Insurance

Exhibitors are required to maintain comprehensive general liability insurance with minimum coverage of $1,000,000 per occurrence. Exhibitors are solely responsible for any damage to venue property, injury to persons, or loss of property occurring in connection with their participation.

5. Visitor Terms and Conditions

5.1 Registration and Tickets

All visitors must register and obtain valid tickets or credentials to attend events. Tickets are non-transferable unless otherwise specified. EPS reserves the right to verify identity and refuse entry to any individual.

5.2 Visitor Conduct

Visitors agree to:

  • Comply with all venue rules and event policies
  • Respect the rights and property of exhibitors and other attendees
  • Refrain from disruptive, offensive, or illegal behavior
  • Follow safety and security protocols
  • Not engage in unauthorized commercial activities

5.3 Photography and Recording

By attending our events, you consent to being photographed, filmed, or recorded. EPS retains the right to use such media for promotional purposes. Commercial photography or recording requires written permission.

5.4 Personal Property

EPS is not responsible for lost, stolen, or damaged personal property. Visitors are advised to keep valuables secure and report any incidents to event security.

6. Booking and Cancellation Policy

6.1 Exhibitor Booth Cancellations

  • More than 90 days before the event: 75% refund
  • 60-90 days before the event: 50% refund
  • 30-60 days before the event: 25% refund
  • Less than 30 days before the event: No refund

6.2 Visitor Ticket Cancellations

  • More than 30 days before the event: Full refund minus processing fee
  • 15-30 days before the event: 50% refund
  • Less than 15 days before the event: No refund

6.3 Event Cancellation or Postponement

In the event that EPS cancels or postpones an event due to circumstances beyond our control (force majeure), including but not limited to natural disasters, pandemics, government actions, or venue unavailability, we will offer one of the following options:

  • Transfer of booking to rescheduled event dates
  • Credit voucher valid for future EPS events within 12 months
  • Refund of 80% of paid fees (to account for non-recoverable costs)

6.4 Refund Processing

All approved refunds will be processed within 30 business days using the original payment method. Processing fees are non-refundable in all circumstances.

7. Payment Terms

7.1 Payment Methods

We accept payment via credit cards, debit cards, bank transfers, and other payment methods as indicated on the Platform. All prices are listed in US Dollars (USD) unless otherwise specified.

7.2 Payment Schedule

For exhibitor booth bookings:

  • 50% deposit due upon booking confirmation
  • Remaining 50% due 60 days before event date
  • Full payment required for bookings made within 60 days of event

7.3 Late Payments

Failure to make payment by the due date may result in cancellation of your booking and forfeiture of any deposits paid. Late payments may be subject to a 5% monthly interest charge on the outstanding balance.

7.4 Taxes and Additional Fees

All prices are exclusive of applicable taxes, duties, and fees unless otherwise stated. You are responsible for all such charges. Additional fees may apply for special services, equipment rentals, or premium features.

7.5 Payment Security

All payment information is processed securely through industry-standard payment processors. We do not store complete credit card information on our servers. By providing payment information, you represent that you are authorized to use the payment method.

8. Intellectual Property

8.1 Platform Content

All content on the Platform, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of EPS or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

8.2 User-Generated Content

By submitting content to the Platform (including exhibitor materials, profiles, logos, or marketing materials), you grant EPS a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the Platform and EPS's business operations.

8.3 Trademark Usage

"EPS", "Egypt Petroleum Show", and related marks are trademarks of EPS. You may not use these trademarks without our prior written consent. Exhibitors and sponsors may use EPS marks solely in connection with their participation in events, subject to our brand guidelines.

8.4 Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe content on the Platform infringes your copyright, please contact us with details including identification of the copyrighted work and the allegedly infringing material.

8.5 Restrictions

You may not:

  • Reproduce, distribute, or create derivative works from Platform content
  • Use automated systems to access or scrape the Platform
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use Platform content for commercial purposes without authorization

9. User Conduct

You agree to use the Platform in accordance with all applicable laws and regulations. You shall not:

  • Violate any laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other malicious code
  • Engage in fraudulent, deceptive, or misleading practices
  • Harass, abuse, threaten, or intimidate other users
  • Impersonate any person or entity
  • Interfere with or disrupt the Platform or servers
  • Attempt to gain unauthorized access to any systems or data
  • Collect or harvest information about other users without consent
  • Use the Platform for any illegal or unauthorized purpose
  • Post or transmit offensive, defamatory, or inappropriate content
  • Engage in spam, phishing, or other unsolicited communications
  • Reverse engineer or attempt to extract source code from the Platform

Consequences of Violations

Violation of these conduct rules may result in immediate termination of your account, removal from events, legal action, and reporting to appropriate authorities. We reserve the right to investigate suspected violations and cooperate with law enforcement.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We make no warranties regarding the accuracy, reliability, or completeness of any content or information on the Platform.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ATTENDANCE AT EVENTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

10.3 Third-Party Content and Links

The Platform may contain links to third-party websites or services that are not owned or controlled by EPS. We are not responsible for the content, privacy policies, or practices of any third-party websites. You access third-party sites at your own risk.

10.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless EPS, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Platform
  • Your violation of these Terms of Service
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Content or materials you submit or make available through the Platform
  • Your participation in events as an exhibitor, sponsor, or attendee
  • Any damages or injuries caused by your actions or negligence

This indemnification obligation will survive termination of these Terms and your use of the Platform. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes through direct communication.

12.2 Arbitration

If informal resolution is unsuccessful, any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the Egyptian Arbitration Center. The arbitration shall be conducted in Cairo, Egypt, in the English language.

12.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY AND NOT AS PART OF A CLASS ACTION, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12.4 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm or to enforce intellectual property rights, without the requirement of arbitration.

13. Governing Law

These Terms of Service and any disputes arising from or related to them shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law provisions.

You agree to submit to the exclusive jurisdiction of the courts located in Cairo, Egypt, for the resolution of any disputes, except where arbitration is required under Section 12.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

14. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by:

  • Posting the updated terms on the Platform with a revised "Last Updated" date
  • Sending notice via email to registered users
  • Displaying a prominent notice on the Platform

Your continued use of the Platform after the effective date of revised terms constitutes acceptance of those changes. If you do not agree to the modified terms, you must discontinue use of the Platform.

For material changes affecting exhibitor contracts or paid services, we will provide at least 30 days' notice before the changes take effect. Changes will not apply retroactively to existing contracts unless required by law.

We recommend reviewing these Terms periodically to stay informed of any updates. The most current version will always be available on our Platform.

BY CLICKING "I AGREE", CREATING AN ACCOUNT, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE PLATFORM.

These Terms of Service constitute the entire agreement between you and EPS regarding your use of the Platform and supersede all prior agreements and understandings, whether written or oral.
